TThe Patchwork Market — Vendor Terms & Conditions

Thank you for your interest in participating in The Patchwork Market (“we,” “us,” “our”). By applying to and or participating in our events, you (“you,” “your,” or “vendor”) agree to be bound by the following Terms and Conditions. These Terms apply to all accepted vendors, their employees, assistants, or anyone operating within their designated booth or table space.
- Definitions
“We Us Our” refers to The Patchwork Market.
“You Your” refers to the vendor, their business, and any agents, staff, or contractors associated with them.
“Space” means the booth or table assigned to you for a specific market.
“Vendor” refers to any person or entity approved to hold a space at The Patchwork Market.
“Vendor Manual” includes setup, load in and load out procedures, and event instructions.
“Intellectual Property” refers to any copyrights, trademarks, or designs belonging to a vendor.
“Confidential Information” includes any non public information shared between parties.
“Cash Box” means any method used by the vendor to manage physical cash during the event.
- Application Review
Vendor applications are juried based on the originality, presentation, quality, and relevance of your products. We reserve the sole right to accept or deny any application without obligation to provide reasoning. Submission of an application does not guarantee acceptance.
- Fees and Payment
Once accepted, vendor fees must be paid in full by the date stated in your acceptance email. Failure to pay by the deadline may result in forfeiture of your space. Fees are non refundable and non transferable. Vendors must provide their own tables, display items, and booth materials unless otherwise specified.
- Cancellation Policy
Vendor cancellations made after payment will result in forfeiture of all fees. We do not offer credits or rollovers. In rare cases where The Patchwork Market cancels an event due to emergencies as described in Section 16, different terms may apply.
- What to Bring
Vendors are responsible for providing:
Display materials, signage, and promotional items
Packaging and shopping bags for customers
Cash box or mobile payment systems
Tables and chairs unless otherwise stated in the application
- Sales and Payment Processing
We do not provide point of sale equipment. Vendors are solely responsible for managing their own sales, collecting payment, and processing tax.
- Term and Participation
Participation is granted on a one time basis and does not guarantee space in future markets. Acceptance into one event does not secure future inclusion.
- Space Transfer and Subletting
Vendor spaces may not be transferred, sublet, or shared without prior written approval. Any additional vendors must submit a separate application and be approved by us in advance.
- Shared Tables
If you intend to share a table, both parties must apply separately and clearly indicate the shared setup. We reserve the right to deny or reassign shared space requests and may charge an additional fee for approved shared setups.
- Conduct and Behavior
All vendors are expected to conduct themselves professionally. Harassment, aggressive sales tactics, or disrespect toward other vendors, attendees, or staff will result in immediate removal without refund. Vendors must leave their space clean and free of trash.
- Booth Appearance
All displays must be neat, safe, and contained within your assigned space. Displays may not interfere with adjacent vendors or block walkways.
- Damage Liability
You are financially and legally responsible for:
Any damage caused to the venue or your assigned space
Any injury or loss resulting from unsafe products or setup
Compliance with all relevant permits and laws
- Setup and Load In
Load in times and space assignments will be shared in advance. Vendors may not move or switch spaces without prior approval. Booth layouts are assigned to maintain an intentional flow of traffic and product mix.
- Health and Safety
Vendors must ensure their setup is free from tripping hazards or unstable displays. All walkways must be kept clear, and any spills or breakages should be cleaned immediately. Emergency procedures will be provided in the Vendor Manual.
- Parking and Load Out
Specific parking and load in instructions will be provided. Vendors must adhere to posted regulations and may not block access points or disrupt traffic.
- Event Cancellation
Markets are held rain or shine indoors. However, in the event of unsafe conditions including severe weather, fire, venue issues, or other emergencies, we reserve the right to cancel or postpone an event. In such cases, all participation fees remain non refundable and The Patchwork Market is not liable for any vendor losses.
- Risk and Responsibility
All vendors participate at their own risk. The Patchwork Market is not responsible for any loss, theft, damage, or personal injury incurred during the market.
- Limitation of Liability
The Patchwork Market is not liable for any direct or indirect damages including lost revenue, business interruptions, or personal harm resulting from your participation. Vendors are solely responsible for all claims related to their conduct, products, displays, and staff.
- Insurance
Vendors are responsible for their booth space, products, displays, staff, and any activities conducted within their assigned space.
Vendors are strongly encouraged to carry general liability insurance, including product liability coverage, with limits of at least $1,000,000 per occurrence. Proof of insurance may be requested by The Patchwork Market at any time.
The Patchwork Market does not provide insurance coverage for individual vendors and is not responsible for any loss, damage, injury, or claims arising from a vendor’s participation in the event.
Vendors assume full responsibility for any bodily injury, property damage, or other claims resulting from their booth, products, equipment, or staff.
- Sales Tax Compliance
All vendors are responsible for collecting and remitting their own sales tax according to applicable state and local laws.
- Marketing Use
By participating, you grant The Patchwork Market permission to use your business name, logo, booth photos, and product images for marketing purposes. You warrant that any content you provide does not infringe on third party rights.
- Indemnification
You agree to indemnify, defend, and hold harmless The Patchwork Market, its owners, employees, staff, representatives, contractors, and the event venue from and against any claims, damages, losses, liabilities, or expenses including reasonable legal fees arising out of or related to your participation in the event.
This includes but is not limited to claims resulting from bodily injury, property damage, product liability, intellectual property disputes, customer complaints, or any actions by you, your employees, assistants, contractors, or representatives.
- Enforcement and Remedies
If you breach these terms, we reserve the right to:
Cancel your booth without refund
Reassign your space
Require you to leave the event immediately
Refuse future participation
You are responsible for covering any costs we incur as a result of your breach.
- Dispute Resolution
We do not mediate disputes between vendors. If you have a conflict, please address it directly and respectfully outside of event hours. Any disruptive behavior may result in removal from the event. If product disputes arise, we reserve the right to request removal of the disputed items during the market.
- General Provisions
These Terms represent the full agreement between The Patchwork Market and vendors.
Headings are for reference only and do not affect interpretation.
No changes are valid unless made in writing and signed by both parties.
If any part of these Terms is found to be unenforceable, the rest remains in effect.
- False or Misleading Applications
Vendors affirm that all information provided in their application is truthful and accurate. The Patchwork Market reserves the right to revoke participation even after acceptance or payment if any part of the application is found to be false, misleading, or misrepresented.
- Product Compliance and Legal Responsibility
Vendors are solely responsible for ensuring their products comply with all applicable laws, safety regulations, and labeling requirements. We reserve the right to request the immediate removal of any item deemed unsafe or in violation of any local, state, or federal regulations.
- Breach of Terms Fees and Damages
If a vendor breaches any portion of these Terms, The Patchwork Market reserves the right to recover any costs, fees, or damages incurred as a result of the breach.
- Photo and Video Consent
By participating, vendors consent to being photographed or filmed for promotional purposes. If you wish to opt out of close up photos of yourself, you must notify us in writing prior to the event.
- Security Disclaimer
The Patchwork Market does not guarantee the safety or security of vendor merchandise. Vendors are solely responsible for their items throughout the event including setup and breakdown hours.
Failure to comply with any term outlined herein may result in immediate removal from the event without refund and restriction from future participation at the sole discretion of The Patchwork Market.
